What Is Critical Date Management in Commercial Real Estate?

Every lease, purchase and sale agreement, and loan document contains dates that trigger a right, an obligation, or a deadline — and missing one can cost real money or a real opportunity. Critical date management is the practice of tracking those dates across a portfolio so someone acts on them before they pass, not after.
What counts as a critical date?
A critical date is any date tied to a deadline or a decision point in a contract. Common examples across CRE:
- Lease renewal and termination option deadlines — often the notice period, not the option date itself, is the real deadline.
- Rent commencement and escalation dates — when rent starts, and when it steps up.
- PSA due diligence and closing deadlines — inspection periods, financing contingencies, closing dates.
- Loan maturity and rate reset dates — when a loan matures or its rate structure changes.
- CAM reconciliation and estoppel deadlines — recurring, calendar-driven obligations.
Some of these are one-time events; others recur every year across a portfolio.
Why missed critical dates are expensive
A renewal option is usually only exercisable if notice goes out within a specific window — miss it, and the option lapses, sometimes taking below-market rent with it. A due diligence deadline that passes unnoticed can forfeit an earnest money deposit. None of these are exotic edge cases; they're the normal shape of a lease or PSA, which is exactly why they're easy to lose track of once a portfolio grows past a handful of documents.
